OnlyDividends Mobile Application

Article 1 - Legal Information

The OnlyDividends application (hereinafter "the Application" or "the Service") is published and operated by:

The Application is available for download on the Apple App Store (iOS) and Google Play Store (Android).

Article 2 - Definitions

The following terms shall have the meanings set forth below:

"User": Any natural person who downloads, accesses, or uses the Application.
"Account": The personal account created by a User to access the Application's services.
"Free Tier": The free version of the Service allowing Users to track up to 3 stock holdings.
"Premium Tier": The paid subscription version allowing unlimited stock tracking.
"Subscription": The recurring payment arrangement for Premium Tier access.
"Holdings": The stock positions entered by the User into the Application.
"Content": All data, information, and materials provided through the Application.

Article 3 - Purpose and Scope

3.1 Purpose

These Terms of Service (hereinafter "Terms") govern the access to and use of the OnlyDividends mobile application. They define the rights and obligations of Users and the Publisher in connection with the Service.

3.2 Acceptance

By creating an Account or using the Application, the User acknowledges having read, understood, and accepted these Terms without reservation. If the User does not agree with these Terms, they must not use the Application.

3.3 Eligibility

The Application is intended for Users who are at least 18 years of age and have full legal capacity to enter into binding contracts. By using the Application, the User represents and warrants that they meet these requirements.

3.4 Platform Terms

The Application is distributed through the Apple App Store and Google Play Store. By downloading or using the Application, Users also agree to comply with the applicable terms and conditions of Apple Inc. and Google LLC, as applicable to their device. In the event of any conflict between these Terms and the platform terms, these Terms shall prevail to the extent permitted by the platform terms.

Article 4 - Description of Services

OnlyDividends is a dividend tracking application designed to help investors monitor their dividend income. The Application operates on a privacy-first principle and does not require bank account linking or brokerage synchronization.

4.1 Free Tier Features

The Free Tier includes:

Tracking of up to 3 stock holdings
12-month dividend calendar with payment statuses (Received, Confirmed, Estimated)
Monthly income visualization chart
Portfolio visualization by sector and by stock
Tax-adjusted push notifications on dividend payment dates
Multi-currency support (EUR, USD, GBP, CAD, CHF, AUD)
Multi-language support (English, French, Spanish)
Custom withholding tax rate settings

4.2 Premium Tier Features

The Premium Tier includes all Free Tier features, plus:

Unlimited stock holdings tracking
Priority customer support

4.3 Service Limitations

The Application relies on third-party financial data providers for stock and dividend information. While we strive for accuracy, we cannot guarantee the completeness, timeliness, or accuracy of all data. Dividend dates and amounts are estimates based on historical patterns and publicly available information.

Article 5 - Account Creation and Management

5.1 Registration

To use the Application, Users must create an Account by providing a valid email address and creating a secure password, or by using supported authentication methods (Google Sign-In, Apple Sign-In). Users may create only one Account per person.

5.2 Account Security

Users are solely responsible for maintaining the confidentiality of their login credentials and for all activities occurring under their Account. Users must immediately notify us at support@onlydividends.app of any unauthorized use or security breach.

5.3 Account Accuracy

Users warrant that all information provided during registration is accurate, current, and complete. Users agree to update their information as necessary to maintain its accuracy.

Article 6 - Subscription and Payment

6.1 Subscription Plans

The Premium Tier is available through monthly and annual subscription plans. Current pricing is displayed in the Application and on the Apple App Store or Google Play Store at the time of purchase.

The Publisher may offer promotional pricing, discounts, or free trial periods at its sole discretion. Promotional offers may be subject to additional terms and conditions, which will be communicated at the time of the offer. Promotional pricing is temporary and may be modified or discontinued at any time.

6.2 Payment Processing

All payments are processed through the Apple App Store (for iOS) or Google Play Store (for Android). By subscribing, Users agree to the payment terms of the respective platform. The Publisher does not directly collect or store payment information.

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. The renewal charge will be applied to the User's payment method on file with Apple or Google.

6.4 Cancellation

Users may cancel their Subscription at any time through their Apple App Store or Google Play Store account settings. Upon cancellation, Users retain access to Premium features until the end of the current billing period. No refunds are provided for partial billing periods.

6.5 Price Changes

The Publisher reserves the right to modify subscription prices. Any price changes will take effect at the start of the next billing period following notice to Users. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Article 7 - Right of Withdrawal

7.1 Withdrawal Period

In accordance with Article L221-18 of the French Consumer Code, Users residing in the European Union have the right to withdraw from the subscription contract within fourteen (14) days of subscription without giving any reason.

7.2 Exercise of Withdrawal Right

To exercise the right of withdrawal, Users must inform us by sending an unambiguous statement to support@onlydividends.app before the expiry of the withdrawal period. Users may use the following model: "I hereby notify you of my withdrawal from the OnlyDividends Premium subscription contracted on [date]."

7.3 Waiver of Withdrawal Right

In accordance with Article L221-28 of the French Consumer Code, Users who request immediate access to the Premium Service upon subscription expressly acknowledge that they waive their right of withdrawal once the Service has been fully performed. This waiver is confirmed by checking the appropriate box during the subscription process.

7.4 Refund

If the right of withdrawal is validly exercised, the Publisher will reimburse all payments received within fourteen (14) days using the same payment method used for the initial transaction.

Article 8 - Intellectual Property

8.1 Ownership

The Application, including its design, software, graphics, logos, trademarks, and all related content, is the exclusive property of the Publisher or its licensors. All intellectual property rights are reserved.

8.2 License

The Publisher grants Users a limited, non-exclusive, non-transferable, revocable license to use the Application for personal, non-commercial purposes in accordance with these Terms.

8.3 Restrictions

Users may not:

Copy, modify, or distribute the Application or its content
Reverse engineer, decompile, or disassemble the Application
Remove or alter any proprietary notices or labels
Use the Application for any commercial purpose without authorization
Attempt to gain unauthorized access to the Application's systems

Article 9 - Personal Data and Privacy

9.1 Data Collection

The Application collects and processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). The data collected includes account information (email address, authentication data) and portfolio data (stock symbols, quantities).

9.2 Privacy-First Approach

OnlyDividends operates on a privacy-first principle. The Application does not require bank account linking, brokerage synchronization, or access to financial accounts. Users manually enter their holdings using only stock symbols and quantities.

9.3 Data Rights

Users have the right to access, rectify, erase, restrict processing, object to processing, and request portability of their personal data. To exercise these rights, contact support@onlydividends.app.

Article 10 - Investment Disclaimer

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY

10.1 No Investment Advice

The Application provides informational and educational content only. Nothing in the Application constitutes investment advice, financial advice, trading advice, or any other type of advice. The Publisher is not a registered investment advisor, broker-dealer, or financial planner.

10.2 No Recommendations

The Application does not recommend buying, selling, or holding any securities or financial instruments. Any information displayed about stocks, dividends, or financial data should not be interpreted as a recommendation or solicitation to invest.

10.3 Investment Risks

All investments involve risk, including the possible loss of principal. Past performance is not indicative of future results. Dividend payments are not guaranteed and may be reduced or eliminated at any time at the discretion of the issuing company.

10.4 User Responsibility

Users are solely responsible for their investment decisions. Before making any investment decision, Users should consult with a qualified financial advisor who can provide personalized advice based on their individual circumstances, financial situation, and investment objectives.

10.5 Tax Information

The tax-adjusted calculations provided by the Application are estimates based on the withholding tax rate entered by the User. These calculations are for informational purposes only and should not be relied upon for tax planning or compliance. Users should consult a qualified tax professional for advice specific to their situation.

Article 11 - Limitation of Liability

11.1 Service Provided "As Is"

The Application is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 Data Accuracy

The Publisher does not warrant the accuracy, completeness, or timeliness of financial data displayed in the Application. Stock prices, dividend amounts, payment dates, and other financial information are sourced from third-party providers and may contain errors or delays.

11.3 Exclusion of Liability

To the maximum extent permitted by applicable law, the Publisher shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, investments, or goodwill, arising from the use or inability to use the Application.

11.4 Maximum Liability

The Publisher's total liability for any claims arising from the use of the Application shall not exceed the amount paid by the User for the Service during the twelve (12) months preceding the claim.

Article 12 - User Obligations

Users agree to:

Use the Application in compliance with these Terms and applicable laws
Provide accurate information when creating an Account
Maintain the security and confidentiality of their login credentials
Not attempt to disrupt or compromise the Application's security or functionality
Not use the Application for any unlawful or unauthorized purpose
Not share their Account with third parties

Article 13 - Termination

13.1 Termination by User

Users may terminate their Account at any time by deleting their account through the Application's settings or by contacting support@onlydividends.app. Active subscriptions should be cancelled through the Apple App Store or Google Play Store before account deletion.

13.2 Termination by Publisher

The Publisher reserves the right to suspend or terminate a User's Account immediately, without prior notice, if the User violates these Terms, engages in fraudulent activity, or for any other reason at the Publisher's sole discretion.

13.3 Effects of Termination

Upon termination, the User's access to the Application will be revoked, and their data may be deleted in accordance with the Privacy Policy. Termination does not affect any rights or obligations that accrued prior to termination.

Article 14 - Force Majeure

The Publisher shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, telecommunications failures, power outages, pandemics, strikes, or third-party service provider failures.

Article 15 - Modifications

15.1 Changes to Terms

The Publisher reserves the right to modify these Terms at any time. Users will be notified of material changes via email or in-app notification at least thirty (30) days before the changes take effect.

15.2 Acceptance of Changes

Continued use of the Application after the effective date of modified Terms constitutes acceptance of those changes. Users who do not agree with the modified Terms should discontinue use of the Application.

15.3 Changes to Service

The Publisher reserves the right to modify, suspend, or discontinue any aspect of the Application at any time, with or without notice, without liability to Users.

Article 16 - Applicable Law and Jurisdiction

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

16.2 Dispute Resolution

In the event of a dispute, Users are encouraged to first contact the Publisher at support@onlydividends.app to seek an amicable resolution. If no resolution is reached, Users residing in the European Union may submit the dispute to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16.3 Jurisdiction

Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

Article 17 - General Provisions

17.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Publisher regarding the use of the Application.

17.3 No Waiver

The failure of the Publisher to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Language

These Terms are available in English, French, and Spanish. In the event of any discrepancy or conflict between the different language versions, the French version shall prevail.

17.5 Assignment

Users may not assign or transfer their rights or obligations under these Terms without the Publisher's prior written consent. The Publisher may assign these Terms without restriction.
